Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of OpsRefresh services, operated by A.N.G.I.E. SYSTEMS LLC ("Company," "we," "us," or "our"). By subscribing to or using OpsRefresh, you agree to be bound by these Terms.

1. Services

OpsRefresh provides AI-powered hospitality operations software and services, including AI agent deployment, POS/reservation system integration, call answering, review management, loyalty automation, and related services ("Services"). The scope of Services is defined by the plan selected at time of purchase (Shield, Growth Engine, or Full Autopilot) and any applicable add-ons.

2. Eligibility

You must be at least 18 years of age and authorized to enter contracts on behalf of your business to use OpsRefresh. By accepting these Terms, you represent that you meet these requirements.

3. Subscriptions & Billing

• All plans are billed on a monthly or quarterly basis, beginning on the date of your first payment.
• Quarterly plans carry no setup fees and are billed every three months in advance.
• You authorize A.N.G.I.E. SYSTEMS LLC to charge the payment method on file for each billing cycle.
• Subscriptions auto-renew unless cancelled before the next billing date.
• All fees are stated in USD and are non-refundable except as provided under Section 5 or as required by law.

4. Cancellation

You may cancel your subscription at any time by emailing hello@opsrefresh.com before your next renewal date. Cancellations take effect at the end of the current billing period. You will continue to have access to Services through the end of the paid period.

5. Refunds & billing adjustments

OpsRefresh does not publish fixed revenue multiples or performance guarantees on its marketing pages. Fees are earned as described in your order form or statement of work. Except where required by law:

• Subscription fees are generally non-refundable once the billing period has begun.
• If you believe a charge is in error, email hello@opsrefresh.com within 14 days of the invoice date with supporting detail.
• Any credits or adjustments are discretionary, issued when billing or scope was materially misstated in writing, and are governed by the agreement you executed at purchase.
• Cancellation remains subject to Section 4; unused future periods after a valid cancellation are not owed.

6. Use of AI Systems & Disclosure

OpsRefresh deploys AI agents in guest-facing communications, including inbound call handling, SMS, and review responses. You are responsible for ensuring compliance with any local, state, or federal laws requiring disclosure of AI in consumer-facing communications. OpsRefresh provides a default disclosure posture; however, you bear responsibility for your specific jurisdiction's requirements.

7. Your Responsibilities

• Provide accurate business information and timely access to required systems for integration.
• Ensure your use of OpsRefresh complies with applicable laws, including consumer protection and data privacy laws.
• You may not resell, sublicense, or transfer OpsRefresh services to any third party without written consent.
• You may not use OpsRefresh to harass, defraud, or harm any person or business.

8. Intellectual Property

All OpsRefresh software, agents, branding, documentation, and materials are owned by A.N.G.I.E. SYSTEMS LLC. You are granted a limited, non-exclusive, non-transferable license to use the Services for your own business operations during your subscription period.

9. Limitation of Liability

To the maximum extent permitted by law, A.N.G.I.E. SYSTEMS LLC shall not be liable for: (a) revenue losses arising from third-party platform outages (e.g., Toast, Resy, OpenTable); (b) indirect, consequential, or punitive damages; (c) events outside our reasonable control. Our total liability in any matter arising from these Terms is limited to the fees paid by you in the 30 days prior to the event giving rise to the claim.

10. Disclaimer of Warranties

OpsRefresh Services are provided "as is" and "as available." We make no warranties, express or implied, including warranties of merchantability or fitness for a particular purpose, except as explicitly stated in these Terms.

11. Governing Law & Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in New York County, New York.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or notice on our website at least 14 days before they take effect. Continued use of the Services after changes constitutes acceptance.
